IMPORTANT—PLEASE READ CAREFULLY. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Davinci Digital Eco-System Ltd. (“Davinci,” “we,” “us,” or “our”) governing access to and use of the AI-powered spreadsheet web application located at https://www.anlitico.com (the “Site”) and any related services, software, APIs, dashboards, or mobile interfaces (collectively, the “Services”).
By accessing, browsing, or using the Services you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

- ELIGIBILITY
1.1 You must be at least 18 years old (or the age of majority where you reside) and have the legal capacity to enter into a binding contract.
1.2 If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity.
- ACCOUNT REGISTRATION & SECURITY
2.1 You may need to create an account to use certain features. You agree to provide accurate, current, and complete information and to keep it updated.
2.2 You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately at support@anlitico.com of any unauthorized use or security breach.
- FEES, BILLING & FREE TRIALS
3.1 Paid Subscriptions. Access to premium features requires a paid subscription (“Paid Plan”). Fees are charged in advance on a recurring basis (monthly or annually) until cancelled.
3.2 Taxes. Fees are exclusive of any applicable taxes, duties, or withholdings. You are responsible for all such amounts.
3.3 Free Trials & Promotions. We may offer free trials or promotional credits. Unless you cancel before the trial ends, your Paid Plan will automatically begin and you will be charged.
- LICENSE & INTELLECTUAL PROPERTY
4.1 Davinci License to You. Subject to your continued compliance with these Terms, Davinci grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
4.2 Restrictions. You shall not (a) license, sublicense, sell, resell, transfer, assign, or commercially exploit the Services; (b) reverse engineer, decompile, disassemble, or attempt to discover any source code or underlying components; (c) interfere with or circumvent security-related features; (d) access the Services to build a competing product or service; or (e) use the Services in violation of any applicable law or regulation.
- USER CONTENT & DATA
5.1 “User Content” means any data, text, images, files, or other material you upload, import, or otherwise make available via the Services. You retain all rights in and to your User Content.
5.2 License to Davinci. By submitting User Content, you grant Davinci a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, process, and analyze your User Content solely for the purpose of operating, improving, and providing the Services.
5.3 Responsibility. You represent and warrant that you have all necessary rights to upload User Content and that such content does not infringe or violate any third-party rights or applicable law. We may—but have no obligation to—monitor or remove User Content that we deem in violation of these Terms.
- AI-GENERATED OUTPUT
6.1 The Services may generate predictions, summaries, formulas, code, or other AI outputs (“AI Output”). AI Output is provided “AS IS” for informational purposes only. You are solely responsible for reviewing, validating, and testing AI Output before relying on it, especially in high-risk or regulated contexts.
6.2 No Professional Advice. AI Output does not constitute legal, financial, accounting, or other professional advice.
- CONFIDENTIALITY
Each party agrees to keep confidential all non-public information disclosed by the other party and to use such information only as necessary to perform its obligations under these Terms.
- THIRD-PARTY SERVICES & LINKS
The Services may integrate with or contain links to third-party websites or services. Davinci is not responsible for any third-party content, products, or services. Your use of third-party services is subject to their respective terms and policies.
- SUSPENSION & TERMINATION
9.1 By You. You may cancel your account at any time via the dashboard or by emailing support@anlitico.com.
9.2 By Us. We may suspend or terminate your access to the Services at any time for cause, including violation of these Terms, non-payment, or extended inactivity.
9.3 Effect of Termination. Upon termination, your right to access the Services will immediately cease. Sections that by their nature should survive termination (e.g., 4, 5.2, 7, 11, 12, 13, 14, and 16) shall survive.
- DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAVINCI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
- LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DAVINCI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO DAVINCI IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD 100.
- INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Davinci and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your User Content, (b) your use or misuse of the Services, (c) your violation of these Terms, or (d) your violation of any rights of another.
- EXPORT & SANCTIONS COMPLIANCE
You shall not use or export the Services in violation of any export control laws, regulations, or sanctions administered by the U.S., EU, UK, Israel, or any other applicable jurisdiction.
- GOVERNING LAW & DISPUTE RESOLUTION
14.1 Governing Law. These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-laws principles.
14.2 Informal Resolution. Before filing any formal legal action, you and Davinci agree to attempt to resolve the dispute informally for at least 30 days.
14.3 Arbitration. If the dispute is not resolved informally, it shall be finally settled by confidential binding arbitration administered by the Israeli Center of Arbitration (ICA) under its Commercial Arbitration Rules in Tel Aviv, Israel. Judgment on the award may be entered in any court having jurisdiction. You and Davinci waive any right to a jury trial or class action.
14.4 Injunctive Relief. Either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information.
- MODIFICATIONS TO TERMS & SERVICES
We may modify these Terms from time to time. Material changes will be posted on the Site with an updated “Last updated” date, and we may also provide notice via email or in-product notifications. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
- GENERAL
16.1 Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force.
16.2 Assignment. You may not assign or transfer these Terms without Davinci’s prior written consent. Davinci may assign these Terms to any successor in connection with a merger, acquisition, or sale of assets.
16.3 Entire Agreement. These Terms, together with any applicable Order Form and Privacy Policy, constitute the entire agreement between you and Davinci regarding the Services and supersede all prior or contemporaneous oral or written agreements.
16.4 Force Majeure. Davinci shall not be liable for any failure or delay caused by events beyond its reasonable control.
